H&H Wholesale is seeking an experienced General Counsel responsible for leading strategic and tactical legal initiatives. The General Counsel will provide senior management with effective legal advice on company strategies and their implementation, will manage the legal function, and oversee the work of outside counsel. The General Counsel will be part of the executive team of the company. You will work collaboratively with the senior management team as a member of a growing, fast-paced, performance-driven company.

Job Responsibilities:
•Leads the company legal function and has responsibility for an operating budget and the business legal strategy
•Provide business savvy judgement for complex legal issues
•Serves as key legal advisor on all major business transactions, including partnerships, licensing agreements and mergers and acquisitions
•Provide legal support for day-to-day business operations, including commercial contracts, employment law, intellectual property, product liability, risk management, litigation, real property, banking and business development matters
•Drafts, negotiates and/or reviews a broad range of commercial agreements and NDAs with customers, suppliers, designers, consultants, financial institutions, employees and so on
•Develops, introduces and maintains strategically benchmarked processes to ensure business competitiveness, compliance with the law, and effective governance practices across the enterprise
•Reports frequently on the status of legal affairs to the executive team and senior managers as appropriate
•Coordinates with and manages outside counsel (on litigation, property, contract and general corporate matters) for cost and quality
•Provide guidance on all aspects of product liability claims and mitigation
•Manage all intellectual property matters related to trademarks, patents and disputes
•Develops and implements policies, practices and procedures related to all legal matters

Required:
•J.D. degree from an accredited law school with superior academic credentials
•5+ years of legal practical experience
•Superior business judgment and strong problem solving skills
•Superior writing, analytical, negotiating and communication skills
•Ability to quickly understand the big picture and develop practical solutions to meet the needs of the business
•Ability to handle confidential information and material with the highest degree of discretion and professional responsibility
•Ability to work under pressure, handle multiple competing priorities and provide practical legal advice
•Ability to develop strong working relationships with internal client managers as well as with outside counsel

Preferred:
•3+ years with an in-house legal department
•Experience with internet retail, wholesale distribution and/or pharmaceuticals preferred
•Experience working with acquisitions
•Experience with intellectual property, litigation and/or commercial contract law

Compensation:
•A generous compensation package with performance pay incentives will be determined commensurate with experience

Responsibilities:

  • Structure, draft and negotiate index and market data licenses and redistribution arrangements with a wide range of providers.
  • Support the business development and product development processes by providing key inputs and advice, particularly with respect to the analysis of critical market data dependencies that impact the product life-cycle.

Requirements:

  • JD with a minimum of four years of experience, preferably at a major law firm (secondment experience a plus) or in-house at a corporate legal department.

Responsibilities

  • Draft, negotiate, and oversee a wide variety of entertainment agreements, including those involving the development and production of television pilots, series and movies (e.g., staff writers, Art. 14 writers, line producers, directors, casting directors) produced for telecast on Disney Channel, Disney XD and Disney Junior.

SUMMARY:

The Litigation Counsel is responsible for all in-house litigation, including all commercial, construction, and administrative (DEP, EHB, OSHA) claims.  The Litigation Counsel will also be responsible for all mediation, arbitration, and settlement negotiations. The Litigation Counsel shall possess a degree from an accredited Law School and shall be licensed to practice law in the Commonwealth of Pennsylvania.

DUTIES AND RESPONSIBILITIES:

  • Provide legal advice and risk management through all phases of construction, including bidding, project completion, and close out;
  • Provide legal guidance regarding change order disputes and potential delay claims;
  • Represent and/or oversee the representation of the Corporation in all commercial and construction arbitration, litigation, and bond/insurance claims;
  • Initiate and defend collection actions;
  • Coordinate and oversee activities of outside counsel;
  • Assist in the development of the corporations’ business plan;
  • Oversee Safety Director in implementing safety compliance;
  • Assist and advise on all legal matters for all projects as directed by the CEO and/or Board of Directors;
  • Assist Corporate Counsel with corporate governance, human resources, and compliance issues.

KNOWLEDGE, SKILLS, AND ABILITIES REQUIRED:

  • Mediation and jury trial experience;
  • Organizational skills in order to coordinate tasks with all departments;
  • Ability to oversee projects and employees;
  • Sufficient knowledge of Microsoft Word and Excel;
  • Excellent knowledge of mechanical contracting industry with proven ability to read and interpret construction plans and specifications;
  • Experience negotiating change orders and delay claims;

  • Strong interpersonal and communication skills and the ability to work effectively with a wide range of diverse individuals; and
  • Ability to enforce all Tomko rules and procedures.

MINIMUM EXPERIENCE:
